EchoStar Corporation has entered into an agreement to sell its Pay-TV business, DISH DBS Corporation, to DIRECTV for $1.00 plus the assumption of its net debt, with a total cash purchase price subject to various conditions and adjustments, including maintaining a minimum cash amount of $400 million at closing.
