EchoStar Corporation has entered into a Merger Agreement with DISH Network Corporation and Eagle Sub Corp, with EchoStar surviving the merger as a wholly owned subsidiary of DISH; each share of EchoStar Common Stock will be converted into DISH Common Stock at a ratio of 2.85.
