On April 7, 2025, Henry Schein, Inc. entered into a Letter Agreement with KKR regarding voting commitments related to stockholder meetings, allowing KKR to vote differently from the Board's recommendations under certain conditions. This agreement does not change the existing Strategic Partnership Agreement made on January 29, 2025.
