Banc of California has entered into an Agreement and Plan of Merger with PacWest Bancorp, and also signed separate investment agreements with affiliates of Warburg Pincus and certain investment vehicles advised by Centerbridge Partners. The investors collectively plan to invest $400 million at the time of the merger by purchasing Banc of California's common stock and new class of non-voting common-equivalent stock.
