Innovative International Acquisition Corp. (IOAC) has entered into a merger agreement with Zoomcar, Inc. and will re-domesticate into a Delaware corporation named Zoomcar Holdings, Inc. Ananda Trust has agreed to purchase 1,666,666 IOAC Class A ordinary shares at a price of $3.00 per share. The shares will not be registered under the Securities Act of 1933. IOAC shareholders have the option to redeem their shares for a pro rata portion of the funds in IOAC's trust account.
